Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Bloomly’s website, mobile applications, and related services (the “Services”), operated by Bloomly (“Bloomly,” “we,” “our,” or “us”). By accessing or using the Services, you agree to these Terms.

If you do not agree, do not use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

1. Eligibility

You must be old enough to enter a binding contract where you live and meet any minimum age required in your jurisdiction to use the Services. If you are under 18, you may only use the Services with the involvement of a parent or legal guardian as required by law.

2. Accounts

You may need an account to use certain features. You agree to provide accurate information, keep your credentials confidential, and notify us promptly of unauthorized use. We may suspend or terminate accounts that violate these Terms or create risk for other users.

3. The Services

Bloomly helps you stay thoughtful with people you care about by combining scheduling and reminders with AI-assisted greeting creation and related personalization. Features may change over time; we may add, modify, or retire functionality with reasonable notice when appropriate.

4. Your content

You retain rights to content you submit to the Services (“User Content”). You grant Bloomly a worldwide, non-exclusive license to host, process, display, and distribute User Content solely to operate, improve, and provide the Services to you, including AI-assisted generation you request.

If you choose to share User Content in community or public areas of the Services, you grant Bloomly the rights needed to display that content to other users according to the product settings you select.

5. AI-generated output

The Services may produce suggested wording, images, or layouts using AI systems. Output may be inaccurate, incomplete, or unsuitable for a given context. You are responsible for reviewing content before you share it outside Bloomly, and for complying with laws and third-party terms that apply to messages you send.

6. Acceptable use

You agree not to:

  • Use the Services in violation of law or third-party rights
  • Harass, threaten, defraud, or harm others
  • Attempt to scrape, probe, or disrupt the Services or other users’ accounts
  • Upload malware or circumvent security or usage limits
  • Misrepresent your identity or impersonate others
  • Use the Services to generate unlawful, hateful, or exploitative content

7. Third-party services

The Services may integrate with or link to third-party platforms (such as messaging or sharing destinations). Those services are governed by their own terms and privacy policies. Bloomly is not responsible for third-party products you choose to use.

8. Intellectual property

Bloomly and its licensors own the Services, including software, branding, and documentation, subject to the licenses we expressly grant you. These Terms do not grant you rights to our trademarks or logos except as needed for ordinary use of the Services.

9. Feedback

If you provide feedback or suggestions, you grant Bloomly a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLOOMLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLOOMLY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLOOMLY’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID BLOOMLY FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, IF ANY.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

12. Indemnity

You will indemnify and hold harmless Bloomly and its affiliates from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your User Content, your use of the Services, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure for us, or for other operational reasons with reasonable notice when practicable. Provisions that by their nature should survive termination will survive.

14. DMCA and copyright

If you believe content on the Services infringes your copyright, contact us with the information required under applicable law (such as the U.S. Digital Millennium Copyright Act). We may remove or disable allegedly infringing material.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware and applicable federal law of the United States, without regard to conflict-of-law rules. Courts located in Delaware will have exclusive jurisdiction over disputes, unless applicable law requires otherwise.

You and Bloomly waive any right to a jury trial for claims that may be brought in court, to the extent permitted by law.

16. Changes

We may modify these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. If changes are material, we will provide additional notice as appropriate. Continued use after changes become effective constitutes acceptance of the revised Terms.
